1. Overview and Policy Statement
Minnie Downtown Media LLC (“Company,” “we,” “us,” or “our”) operates the UGC Executive Academy (the “Program”), an online educational program delivered entirely through digital means. This Refund and Cancellation Policy (“Policy”) governs all requests for refunds, cancellations, and related matters in connection with the purchase of the Program.
We understand that enrolling in an educational program is a meaningful commitment, and we want you to feel confident in your purchase. This Policy is designed to be clear, fair, and compliant with applicable consumer protection laws in the United States and the European Union.
By completing your purchase of the Program, you acknowledge that you have read, understood, and agreed to this Refund and Cancellation Policy. This Policy forms part of the Company’s Terms of Service, available at https://ugcexecutive.com/.
2. Nature of the Product
The UGC Executive Academy Program is a digital product delivered entirely in electronic format. Upon enrollment and payment, you receive immediate or near-immediate access to digital course materials, video lessons, templates, frameworks, platform tools, and community spaces.
Because the Program is a digital product with immediate access granted upon purchase, it does not have the same return characteristics as a physical product. Partial consumption of digital content does not entitle a purchaser to a full or partial refund except as expressly provided in this Policy.
This Policy does not apply to any separately purchased products, services, or events that may be offered by the Company outside of the core Program enrollment. Separate terms may apply to such offerings.
3. Satisfaction Guarantee
The Company offers a satisfaction-based refund guarantee to eligible participants under the conditions specified in this Section. We stand behind the quality of the Program and want every participant to feel they received genuine value from their enrollment.
3.1 Eligibility Conditions
To be eligible for a refund under the satisfaction guarantee, all of the following conditions must be met:
Refund requests that meet all of the above conditions will be approved and processed in accordance with Section 4 of this Policy.
3.2 Refund Amount
Approved refunds will be issued for the full amount of the enrollment fee paid, with no deductions for administrative fees or processing charges, except as noted below.
Please note: The refund will be returned to the original payment method used at the time of purchase. The Company is not responsible for any currency conversion losses, bank fees, or exchange rate differences between the time of original payment and the time of refund processing. If the original payment was made in USD and you incurred EUR conversion costs, the refund will be processed in USD to the original payment method.
3.3 One-Time Guarantee
The satisfaction guarantee applies once per individual purchaser. If you have previously received a refund for a Program enrollment and subsequently re-enroll, the satisfaction guarantee will not apply to any subsequent purchase.
4. Refund Request Process
4.1 How to Submit a Refund Request
To request a refund, you must:
Refund requests submitted through any other channel (social media, community platforms, telephone, or third-party messaging) will not be processed. All requests must be submitted via email to the address specified above.
4.2 Processing Time
Upon receipt of a valid refund request, the Company will review and respond within five (5) business days. If your request is approved, the refund will be initiated within five (5) business days of approval.
Refunds are processed through the original payment processor (Stripe or other applicable processor). The time for the refunded amount to appear in your account depends on your bank or card issuer and is typically between five (5) and ten (10) business days from the date of processing. The Company is not responsible for delays caused by financial institutions.
4.3 Confirmation
You will receive an email confirmation when your refund request is received and a separate confirmation when the refund has been initiated. Please retain these confirmations for your records.
4.4 Access Revocation
Upon approval and processing of a refund, your access to all Program materials, the Verified Creator Marketplace, community spaces, and all other Program components will be immediately revoked. Any downloaded or retained content must not be used following a refund, in accordance with the intellectual property provisions of the Terms of Service.
5. Non-Refundable Circumstances
Refunds will not be issued in the following circumstances, regardless of whether the request is submitted within the standard refund window:
The Company reserves the right to deny a refund request that does not meet the eligibility conditions set out in this Policy. Denial decisions will be communicated in writing with a brief explanation.
6. EU Consumer Rights and Statutory Withdrawal
6.1 Statutory Right of Withdrawal
Under the European Union Consumer Rights Directive (Directive 2011/83/EU), EU consumers generally have a statutory right to withdraw from a distance contract within fourteen (14) calendar days of the contract date without providing a reason.
However, under Article 16(m) of the Directive, the right of withdrawal does not apply to contracts for the supply of digital content not supplied on a tangible medium where performance has begun with the consumer’s prior express consent and acknowledgment that they thereby lose their right of withdrawal.
At the time of purchase, EU consumers are asked to expressly confirm their consent to immediate access to the digital Program and acknowledge that by granting this consent, they waive their statutory right of withdrawal. This confirmation is recorded at the time of purchase.
If you are an EU consumer and you did not expressly consent to immediate access and waive the right of withdrawal at the time of purchase, please contact us at hello@ugcexecutive.com within fourteen (14) calendar days of your purchase date to exercise your statutory withdrawal right. We will review your request in accordance with applicable law.
6.2 Company Satisfaction Guarantee for EU Users
Regardless of the statutory withdrawal position, EU users who have consented to immediate digital access remain eligible for the Company’s voluntary satisfaction guarantee under Section 3 of this Policy, subject to the conditions and limitations stated therein. The Company’s satisfaction guarantee provides refund rights at least equivalent to, and in some respects more flexible than, the statutory right of withdrawal for eligible EU purchasers.
6.3 Conformity of Digital Content
EU consumers have rights under Directive (EU) 2019/770 on contracts for the supply of digital content and digital services. The Company warrants that the Program conforms to its description as presented on the Website and that it will be delivered in a manner consistent with reasonable quality and functionality standards. 7. Cancellation of Enrollment
The UGC Executive Academy Program is offered as a single, one-time enrollment payment (not a subscription). There is no recurring charge associated with enrollment, and therefore no ongoing subscription to cancel.
If you wish to discontinue your participation in the Program after the refund window has expired, you may do so at any time. Discontinuation does not entitle you to a refund. Your access to Program materials will remain available for the duration of your access period as described in the Terms of Service.
If the Company introduces any future subscription-based offerings, separate cancellation terms will apply and will be communicated clearly at the time of purchase.
8. Chargebacks and Payment Disputes
If you initiate a chargeback or payment dispute with your bank, card issuer, or payment processor without first attempting to resolve the matter with the Company through this Policy, the Company reserves the right to:

Most issues can be resolved quickly and amicably through direct communication. Chargebacks impose significant administrative costs and may affect our ability to offer favorable payment terms to future participants.
Initiating a chargeback does not constitute a valid refund request under this Policy and will not trigger the satisfaction guarantee.
9. Program Changes and Discontinuation
The Company reserves the right to modify, update, or discontinue the Program or any of its components at any time. In the event of material changes that significantly reduce the value of the Program for enrolled participants, the Company will provide reasonable advance notice and may, at its discretion, offer affected participants a prorated refund or alternative accommodation.
Minor updates, content additions, tool substitutions, or scheduling changes to mentorship sessions do not constitute material changes and do not entitle enrolled participants to a refund.
In the event of permanent discontinuation of the Program, the Company will provide enrolled participants with a minimum of thirty (30) days’ written notice and will make reasonable efforts to ensure participants can complete their access or obtain a prorated refund for unused access time.
10. Changes to This Policy
The Company reserves the right to modify this Refund and Cancellation Policy at any time. Changes will be effective upon posting to the Website. For purchases made prior to any changes to this Policy, the version of the Policy in effect at the time of purchase will govern refund eligibility.
